These Terms of Service ("Terms") govern your access to and use of the website at mosaicrm.com, the Mosaic Research Management expert network, and related services (together, the "Services"), provided by Mosaic Research Management ("Mosaic," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Mosaic is an expert network and primary research firm. We facilitate telephone and other consulting engagements between our clients — institutional investors, management consultancies, and similar organizations — and experts across industries and geographies. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and Mosaic.
You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that the information you provide is accurate and that your participation does not violate any agreement, law, or policy that applies to you.
When you consult through Mosaic, you agree that you will not disclose material non-public information, trade secrets, or any information that you are under a duty to keep confidential. You agree to comply with Mosaic's compliance policies and any compliance screening, and to decline to answer questions that would require you to breach a legal, contractual, or ethical obligation.
For paid engagements, you set your consulting rate, and compensation is prorated to the actual length of the consultation unless otherwise agreed. After a completed consultation, Mosaic provides invoicing instructions and pays by check, wire/ACH, or other agreed method. You are responsible for any taxes on amounts you receive.
By providing your contact information, you agree that Mosaic may contact you by email, telephone, and — where you have provided a mobile number and opted in — SMS/text message, about project invitations, reminders, availability, and scheduling. Message frequency varies and message and data rates may apply. You may reply STOP to any text to opt out, or HELP for help. See our Privacy Policy for how we handle your information.
You agree not to misuse the Services, including by: providing false information; interfering with or disrupting the Services; attempting to gain unauthorized access to any system or data; using the Services for any unlawful purpose; or infringing the rights of Mosaic or others.
The Services, including the website's content, design, logos, and trademarks, are owned by Mosaic or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose. You may not copy, modify, distribute, or create derivative works without our permission.
The Services may link to third-party websites or resources. We do not control and are not responsible for those third parties, and links do not imply endorsement.
The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any consulting opportunity will be available to you.
To the fullest extent permitted by law, Mosaic and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or relating to your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amounts we paid you in the preceding twelve months or one hundred U.S. dollars (US$100).
You agree to indemnify and hold harmless Mosaic and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your consultations, or your breach of these Terms or of any obligation you owe to a third party.
We may suspend or terminate your access to the Services at any time, with or without notice, including if we believe you have violated these Terms. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in New York County, New York, for any dispute that is not otherwise subject to an agreed alternative process.
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
